Terms of Service

These Terms of Service ("Terms") govern your access to and use of Fowel, including our website, hosted application, GitHub App, billing features, APIs, model-assisted review functionality, and related services (collectively, the "Services"). The Services are operated by Hackmamba Inc. ("Hackmamba," "we," "us," or "our"), located at 1111B S Governors Ave., Dover, Delaware 19904, United States.
By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms, and "you" and "your" will refer to both you and that entity.
1. Eligibility
You may use the Services only if you are at least 13 years old and are legally capable of entering into a binding agreement. If you are under the age of majority in your jurisdiction, you may use the Services only with the involvement and permission of a parent or legal guardian, to the extent permitted by applicable law.
2. The Services
Fowel provides AI-assisted documentation review tools that integrate with GitHub and related systems to analyze pull requests, documentation files, issue comments, repository configurations, and related materials. The Services may generate comments, summaries, scores, suggestions, and related outputs intended to assist with documentation quality review.
The Services are designed to support, not replace, human judgment. You remain solely responsible for evaluating all outputs, verifying accuracy, determining appropriateness for your use case, and deciding whether to publish, merge, or rely upon any content.
3. Accounts and Authentication
You may be required to create an account or authenticate through third party providers, including Clerk and GitHub. You are responsible for maintaining the confidentiality of your credentials, controlling access to your account, and ensuring that all account information is accurate and up to date.
You are responsible for all activities that occur under your account or credentials, whether or not you authorized the activity, unless otherwise required by law. You must promptly notify us at hi@hackmamba.io if you become aware of unauthorized access or a security incident involving your account.
4. GitHub and Third-Party Integrations
The Services rely on integrations with third-party services, including GitHub, Stripe, Clerk, and model providers. Your use of those third-party services remains subject to their own terms, privacy policies, and platform rules. We are not responsible for third-party services, their availability, their conduct, or changes they make to their products, APIs, pricing, or legal terms.
By connecting repositories, accounts, or installations to Fowel, you represent and warrant that you have all necessary rights, permissions, and authority to grant us access to such resources and to authorize the processing of associated content and metadata.
5. Customer Content and Permissions
As between you and Hackmamba, you retain ownership of repositories, documentation, pull request content, prompts, comments, instructions, and other materials you submit to or process through the Services ("Customer Content"), subject to the rights granted in these Terms.
You grant Hackmamba a worldwide, non-exclusive, limited license to host, store, copy, transmit, display, adapt, parse, analyze, and otherwise process Customer Content as necessary to operate, secure, improve, and support the Services, including by transmitting relevant content to our subprocessors and model providers to generate review outputs.
You represent and warrant that:
- You own or control all rights necessary to provide Customer Content to the Services.
- Your use of the Services and provision of Customer Content do not violate any law, regulation, contract, confidentiality obligation, intellectual property right, privacy right, or third-party policy.
- You have obtained all necessary consents and authorizations required for us to process Customer Content as contemplated by these Terms and our Privacy Policy.
6. AI Outputs and Service Limitations
Outputs generated by the Services may be incomplete, inaccurate, outdated, inconsistent, or inappropriate for your intended use. Fowel may misclassify issues, omit relevant issues, or generate content that requires human review. You acknowledge and agree that:
- You are solely responsible for reviewing, approving, rejecting, editing, testing, and validating any output before use.
- The Services do not constitute legal, compliance, security, editorial, or professional advice.
- You will not rely on outputs as a substitute for qualified human review where such review is necessary or appropriate.
7. Acceptable Use
You may not, and may not permit others to:
- Use the Services in violation of any law, regulation, or third-party right.
- Use the Services to process unlawful, infringing, deceptive, fraudulent, defamatory, harassing, abusive, or malicious content.
- Interfere with, disrupt, disable, overburden, or compromise the integrity, security, or performance of the Services.
- Attempt to gain unauthorized access to the Services, related systems, accounts, or data.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, trade secrets, or underlying models or workflows, except to the extent prohibited by applicable law.
- Use the Services to build or benchmark a competing service, except with our prior written consent.
- Bypass or circumvent usage limits, credit systems, billing controls, or technical restrictions.
8. Fees, Billing, and Subscriptions
Certain features of the Services require payment. Pricing, plan descriptions, credits, billing intervals, and extension-pack terms may be described on the Services and may be updated from time to time. Paid features are billed through Stripe or another payment processor we may designate.
By purchasing a subscription or credits, you authorize us and our payment processor to charge the applicable fees, taxes, and other amounts due. Subscriptions may renew automatically unless canceled in accordance with the applicable billing terms and processor workflow.
Unless otherwise stated in writing or required by law:
- Fees are stated in U.S. dollars and are non-refundable.
- Unused subscription entitlements may expire at the end of the applicable billing period.
- Extension or add-on credits may be subject to separate rules disclosed at purchase.
- You are responsible for all applicable taxes, duties, levies, and governmental assessments, excluding taxes based on Hackmamba's net income.
9. Free Plans, Beta Features, and Trials
We may offer free plans, trial access, promotional credits, beta features, preview features, or experimental tools. Such offerings may be modified, suspended, limited, or discontinued at any time without liability. Beta, preview, and experimental features are provided "as is" and may be subject to additional limitations and reduced support.
10. Intellectual Property
The Services, including our software, interfaces, visual design, trademarks, logos, documentation, workflows, and all related intellectual property rights, are owned by Hackmamba and its licensors and are protected by applicable intellectual property and other laws. Except as expressly stated in these Terms, no rights are granted to you by implication, estoppel, or otherwise.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services for your internal business or personal use, as applicable.
11. Feedback
If you provide feedback, ideas, suggestions, requests, recommendations, or other comments regarding the Services ("Feedback"), you grant Hackmamba a worldwide, perpetual, irrevocable, royalty-free, fully paid, sublicensable, and transferable right to use, reproduce, modify, commercialize, and otherwise exploit that Feedback for any lawful purpose without restriction or compensation to you.
12. Privacy
Our processing of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you acknowledge that we may collect, use, store, and disclose information as described in the Privacy Policy.
13. Suspension and Termination
We may suspend, restrict, or terminate your access to all or any part of the Services at any time, with or without notice, if we reasonably believe that:
- You violated these Terms or applicable law.
- Your use poses a security risk, legal risk, or operational burden.
- Your use could harm us, the Services, other users, or third parties.
- A third-party provider or integration required to operate the Services becomes unavailable or imposes restrictions affecting your use.
You may stop using the Services at any time. Provisions that by their nature should survive termination will survive, including those relating to intellectual property, payment obligations, disclaimers, limitations of liability, indemnity, dispute resolution, and legal compliance.
14. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS." HACKMAMBA AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON- INFRINGEMENT, SATISFACTORY QUALITY, QUIET ENJOYMENT, ACCURACY, AND AVAILABILITY.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, TIMELY, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY OUTPUTS WILL BE ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR YOUR PURPOSES.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HACKMAMBA AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO HACKMAMBA FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS (USD $50).
Some jurisdictions do not allow certain disclaimers or limitations of liability. In those jurisdictions, the above provisions apply only to the maximum extent permitted by law.
16. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Hackmamba and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, demands, actions, proceedings, damages, judgments, settlements, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
- Your use of the Services.
- Your Customer Content.
- Your violation of these Terms or applicable law.
- Your infringement or misappropriation of any third-party right.
17. Governing Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be governed by the laws of the State of Delaware, without regard to conflict of laws principles.
Subject to applicable law, the state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, and you consent to the personal jurisdiction and venue of those courts. Nothing in these Terms limits any consumer rights that cannot be waived under applicable law.
18. Changes to the Services or Terms
We may modify the Services or these Terms at any time. If we make material changes, we will post the updated Terms and update the "Last updated" date above. Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the revised Terms, unless applicable law requires a different form of consent.
19. Miscellaneous
- These Terms constitute the entire agreement between you and Hackmamba regarding the Services, except for any separate written agreement executed by both parties.
- If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
- Our failure to enforce any provision is not a waiver of that provision or any other provision.
- You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
- These Terms do not create any agency, partnership, fiduciary, joint venture, employment, or franchise relationship.
